1. Acceptance of Terms

By accessing or using the services provided by Zentra Marketing ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Services Provided

Zentra Marketing provides website design, website redesign, and paid advertising services (primarily Meta ads). Specific service details, deliverables, timelines, and pricing will be outlined in individual project proposals or service agreements.

3. Client Responsibilities

Clients agree to:

• Provide accurate and complete information necessary for project completion
• Respond to requests for feedback, approvals, or materials in a timely manner
• Make payment according to the agreed-upon payment schedule
• Ensure all content provided (text, images, logos) does not infringe on third-party rights
• Review and approve deliverables within specified timeframes

4. Payment Terms

Payment terms will be specified in your project proposal. Typically:

• A deposit (usually 50%) is required before work begins
• Final payment is due upon project completion
• Payment plans may be available upon request
• Late payments may incur additional fees
• All fees are in USD or CAD as specified in the agreement

5. Revisions and Changes

Our service packages include a specified number of revision rounds (typically 2). Additional revisions beyond the agreed scope may incur extra charges. Major scope changes will require a new project proposal and additional fees.

6. Project Timelines

We strive to meet all project deadlines. However, timelines are estimates and may be affected by client delays in providing materials or feedback. We are not liable for delays caused by circumstances beyond our reasonable control.

7. Intellectual Property

Upon full payment, clients receive ownership of the final deliverables (website design, ad creative, etc.). We retain the right to use completed work in our portfolio and marketing materials unless otherwise agreed in writing. All preliminary work, drafts, and design files remain our property.

8. Advertising Services

For paid advertising services:

• Ad spend budgets are managed by the client directly through their ad accounts
• We do not guarantee specific results (clicks, conversions, ROI) as outcomes depend on many variables
• Campaign performance may vary based on industry, competition, and market conditions
• Clients are responsible for ensuring their ads comply with platform policies

9. Cancellation and Refunds

Cancellation policies:

• Deposits are non-refundable once work has commenced
• Clients may cancel projects with written notice, but will be charged for work completed to date
• For retainer services, either party may cancel with 30 days' written notice
• Refunds are issued at our discretion and only for services not yet rendered

10. Limitation of Liability

To the fullest extent permitted by law, Zentra Marketing shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits or revenue. Our total liability for any claim shall not exceed the amount paid by the client for the specific services in question.

11. Warranties and Disclaimers

We warrant that our services will be performed in a professional manner. However, we make no guarantees about specific business outcomes, website traffic, sales, or advertising performance. Services are provided "as is" without warranties of any kind beyond those expressly stated.

12. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the engagement, except as required by law or with written consent.

13. Governing Law

These Terms of Service are governed by the laws of Ontario, Canada. Any disputes shall be resolved in the courts of Ontario.

14. Changes to Terms

We reserve the right to modify these terms at any time. Changes will be effective immediately upon posting to our website. Continued use of our services constitutes acceptance of revised terms.
